The government of Marshall Islands designed its IBC for a tax-free corporation able to engage in all forms of international business. The IBC is not obliged to have any reporting. It also has a minimum record-keeping requirement. Its confidentiality feature is equally impressive as only the Memorandum & Article of Association is the only document available to public records.

To register an IBC in Marshall Islands, you need to engage a professional business registration provider. The documents can be executed by one authorized person without the requirement of notarization & consular approval. Although facsimile filing is permitted, it must be made certain that the signatures must be eligible & the printed name and title of the signatory should be clear too.

There must be one director, shareholder, and corporate secretary. The appointment of secretary is even optional. In Marshall Islands, it is allowed to have one individual or corporate entity holding all three positions. If it is individual, any nationality is allowed; and the director is not required to establish a local residence. All can reside anywhere.

The corporate headquarters, where the records are kept, can be located in any country. There is no foreign exchange control too. Included in its tax-free features are tax exemptions on capital gains, withholding, and income. The IBC is also not required to maintain annual accounts reporting. Nor is it obliged to have an auditor. There is also no minimum capital requirement. When it comes to shares, they can be issued for money or for other valuable considerations, in variety of forms & classifications, and may include voting or non-voting. However, they should be issued in registered form only & bearer shares are no longer allowed.

On the other hand, an IBC in Marshall Islands does not allow you to do business with the local residents. You cannot also own real property except to lease an office.

We offer a free name check service for Marshall Islands IBC as part of our business registration service. You can submit two proposed business names and we guarantee results within a few hours after we receive the request. Our registration services include assistance in opening an offshore corporate bank account. We also offer shelf companies.

These visas are issued to foreign professionals who have found employment in Singapore and are about to commence work, those who need to make short visits in their professional capacities, and others who seek training opportunities.

Employment Pass / EntrePass (Employment Pass for Entrepreneurs)

For a foreigner to run his own company/business in Singapore, we can apply for his/her employment pass known in Singapore as EntrePass (either before the incorporation or after) which needs to be submitted with a Business Plan. You may call upon Rikvin to assist you with the completion and submission of the application and the drawing up of the Business Plan.

There are various categories of employment passes in Singapore.

Employment Pass P1 and P2

For a P1 Pass, you need to have acceptable professional qualifications or specialist skills in a professional, administrative, executive or managerial capacity.

You must have a basic monthly salary of more than S$7,000.

For a P2 Pass, you need to be earning more than S$3,500 and up to S$7,000.

With a P Pass, your spouse, adopted children and dependent children below 21 years of age may accompany you on Dependant’s Passes. Aged parents and parents-in-law can also visit a P Pass holder on long term social visit passes.

Employment Pass Q1

For a Q1 Pass, you need to possess acceptable degrees, professional qualifications or specialist skills and earn a basic monthly salary of more than S$2,500.

You may also obtain Dependant’s Passes for your spouse and children.

S Pass

Applicants for S Pass will be assessed on a points system. The points system comprises four categories, namely, salary, educational qualifications, number of years of work experience and job type to enable a broader assessment of the applicant.

Applicants chalk up points based on how far they meet the criteria. The points allocated for each category of criteria will vary over time depending on market conditions.

To qualify for the S Pass, applicants must be paid a minimum monthly basic salary of S$1,800.

S Pass holders with S$2,500 basic monthly salary may also obtain Dependant’s Passes for your spouse and children.

Foreign professionals with an EPE certificate will be issued with an employment pass by Work Pass Department upon securing a job in Singapore.
